THE ROOM OPPOSITE / Chapter 6 / 10

Chapter 6 - The Acquisition That Never ClosedVector Grid did not close Monday.

Northstar’s board suspended the $620 million acquisition hours before signing.

Within a week, auditors found something worse.

Max secretly owned 17 percent of Vector through offshore entities.

If Northstar completed the acquisition, his personal gain could have exceeded $80 million.

Blackridge’s $31 million fee was only part of it.

Rachel had helped negotiate the transaction.

She had no ownership interest.

But she had ignored several conflicts Max told her were “already cleared.”

Her career was over.

Northstar terminated her.

Not for the affair.

For compliance failures and undisclosed conflict.

She called me after the meeting.

“I lost my job.”

“I’m sorry.”

“I deserved to lose it.”

I paused.

That was new.

Not because she deserved every consequence.

Because she had stopped making Max responsible for choices that belonged to her.

Investigators eventually decided Rachel had not knowingly participated in Max’s broader fraud.

She faced no criminal charges.

But the regulatory findings were severe.

She paid a civil penalty.

Lost deferred compensation.

Agreed to a temporary restriction from certain executive roles.

It cost her almost everything she had spent fifteen years building.

Max had not done that alone.

Neither had she.

Both truths mattered.

Celeste filed for divorce.

Unlike Rachel, she had two children with him.

Her situation was harder.

Financial accounts frozen.

House partly tied to fraudulent proceeds.

Reporters outside school.

She called me once.

“I hate that our kids will Google this someday.”

“I’m sorry.”

“They love him.”

“I know.”

“What am I supposed to tell them?”

“The truth they’re old enough to understand.”

“That he’s a criminal?”

“That he made choices that hurt people.”

Celeste sighed.

“You sound like a therapist.”

“I’m paying enough for one.”

She laughed.

We became friends in an odd way.

Not close.

Connected by damage.
