Chapter 11 - The Proxy War

Malcolm Rusk declared his interest in Vanguard on a Monday morning.His company offered to purchase distressed debt, stabilize operations, and preserve jobs. The proposal appeared generous until Clara read the attached conditions. Wren Field Holdings would receive voting rights over several warehouse leases. The board would lose authority to reject a new chief executive. Existing shareholders would be diluted.“He’s trying to finish what he started,” Clara said.Nina sat across from her in the hospital conference room. “He may claim he’s rescuing a company damaged by internal misconduct.”“The misconduct he helped create.”“Prove the connection.”Clara pushed the documents toward Elise. “Find the assumption that makes this offer possible.”Elise read for ten minutes. “They assume Vanguard will miss a debt covenant within thirty days.”“Will we?”“Not if we stop paying the fake vendors and recover the reserve.”“Can we?”“The reserve is locked because the board froze all unusual transactions.”Clara smiled faintly. “Then we need the board to make one unusual transaction.”The emergency meeting took place by video. Julian attended with Curtis Hall. Beatrice and Arthur were absent because the court had ordered them not to contact company witnesses, but Beatrice sent a written statement claiming Clara had mismanaged Vanguard and fabricated the attack.Julian read it aloud.“My parents are being scapegoated because Clara cannot accept that the business is failing.”Clara watched him from the hospital screen. His expression was smooth, but his hands trembled beneath the table.“You said the business was healthy last month,” Maribel Stone replied.“Circumstances changed.”“After the searches?”“After Clara disappeared.”Nina entered the meeting. “We have records showing that Vanguard’s liquidity problem was manufactured through unauthorized payments. The board can approve a limited bridge using unrestricted cash, subject to independent oversight.”One director asked, “Can Clara still direct operations?”Clara answered herself. “I can direct my company. I can also appoint qualified people to handle day-to-day work while I recover.”She nominated Elise as interim chief operating officer.Elise looked startled.“You trust me?” she asked after the meeting.“I trust the records you kept when trusting yourself became dangerous.”The bridge was approved. Rusk’s rescue offer lost its urgency.By evening, his attorneys filed a lawsuit alleging that Clara had used confidential company information to sabotage a legitimate acquisition. The complaint called her disappearance an act of bad faith.Nina read the headline on her phone. “They want to force discovery.”“They want to know what we have.”“And they want to make you spend money defending yourself.”Clara looked at the ceiling. “How much?”“Enough to hurt.”“Then we make them spend more.”“That is not a legal strategy.”“It is a motivation.”Nina almost smiled. “You are not allowed to threaten opposing counsel.”“I didn’t threaten anyone. I described arithmetic.”Meanwhile, Julian met Rusk in a private conference room at a hotel. Rusk poured two glasses of water and left both untouched.“You promised control,” Julian said.“I promised an opportunity.”“My parents are under investigation.”“So are you.”“You said the attack would not happen.”Rusk studied him. “I said I did not authorize violence.”“You knew they were desperate.”“Desperation is not a crime.”“It becomes one when you finance it.”Rusk leaned forward. “Your wife has the Lantern. Find it.”Julian stared at him. “You don’t know where it is?”“If I knew, we would not be having this conversation.”“What is inside?”“The evidence that can connect us.”“Us?”Rusk smiled without warmth. “You signed the access orders.”Julian left the hotel with a sick feeling in his stomach.He had thought Rusk was using his family. He had not realized Rusk had been collecting leverage on everyone.At the hospital, Clara received a message from an unknown number.The Lantern is not the danger. Ask what your father hid before he died.Nina read it twice.Clara’s father had been dead for twelve years. His old business records were already inside the archive.Unless the message referred to something he had hidden outside it.
